Contract Law

The basic structures of contracts of sale are prescribed by law. In contrast to English law, a contract under German law requires no detailed provisions and definitions on issues such as right of retention, set-off or assignment, as these have already been provided by the legislator. Unless the contract expressly stipulates otherwise, the statutory provisions will apply.

The united Nations Convention on Contracts for the International Sale of Goods (CSIG), which has been ratified by almost all major industrial and commercial nation, applies to international contracts for the sale of goods. The UN Sales Convention is strongly influenced by Continental European legal principles and therefore meshes particularly well with German law. No other member state of the UN Sales Convention has passed more court decisions on matters under this Convention than Germany. These decisions are often cited by other countries.

The contract of manufacture, which is regulated in great detail in the Civil Code, provides clear rules for the contract drafter, taking into account the interests of both parties. These rules span the entire contractual process, from order placement through to acceptance of the completed work, to any defects that may subsequently emerge. Accordingly, a valid contract of manufacture under German law does not need to be lengthy in order to provide stipulations for all relevant issues. Legal advisory services can therefore focus on the material points, even in the case of complex building or plant construction contracts.

Companies can commission one or more commercial agents to sell its devices. Commercial agents are independent entrepreneurs who act in the name and for the account of their principal. Their responsibilities are set forth in detail in the Commercial Code. Indeed, in view of its efficiency, the German Commercial Code served as the template for the pan-European standardisation in this field of law.

Berlin führt Wohnungs- und Mietenkataster ein
Das Berliner Abgeordnetenhaus hat am 02.07.2026 ein Gesetz zur Einführung eines Wohnungs- und Mietenkatasters beschlossen. Berlin ist damit das erste Bundesland, das ein zentrales digitales Register dieser Art einführt. Das Gesetz ist allerdings noch nicht in Kraft, da es bislang nicht im Gesetz- und Verordnungsblatt verkündet wurde.

Erfasst werden grundsätzlich alle dauerhaft zu Wohnzwecken vermieteten Wohnungen in Berlin – nach Angaben des Senats rund 1,8 Millionen. Die Meldepflicht trifft die Vermieter. Zu melden sind unter anderem die Adresse, Wohnlage und Etage, Wohnfläche, Zimmerzahl und Ausstattung, Beginn und vereinbarte Dauer des Mietverhältnisses sowie die Nettokaltmiete. Hinzu kommen die Zusammensetzung der Bruttowarmmiete, Modernisierungsumlagen und der auf die Wohnung entfallende Anteil der Grundsteuer.

Für die erstmalige Meldung gilt eine Frist von zwölf Monaten ab Aufnahme des Regelbetriebs des Katasters. Änderungen, insbesondere bei der Miethöhe, müssen innerhalb eines Monats aktualisiert werden.

Verstöße können mit einem Bußgeld von bis zu 10.000 Euro, bei wiederholten oder besonders gewichtigen Verstößen sogar bis zu 100.000 Euro geahndet werden.

Ziel des Katasters ist es, die Durchsetzung des geltenden Mietrechts zu erleichtern. Die gemeldeten Daten sollen automatisiert auf Auffälligkeiten geprüft werden, insbesondere im Hinblick auf mögliche Verstöße gegen die Mietpreisbremse. Das Kataster ist nicht öffentlich. An der zivilrechtlichen Situation ändert es nichts: Ansprüche auf Rückzahlung oder Herabsetzung der Miete müssen weiterhin vom Mieter selbst geltend gemacht und gegebenenfalls gerichtlich durchgesetzt werden. Es ist jedoch zu erwarten, dass Behörden Mieter auf auffällige Miethöhen hinweisen werden.

An der Rechtmäßigkeit des Gesetzes bestehen erhebliche Zweifel. Eine gerichtliche Überprüfung dürfte allerdings erfahrungsgemäß mehrere Jahre dauern.

Was bedeutet das für Vermieter?
Vermieter sollten den Wohnungsbestand daher bereits jetzt erfassen und die vereinbarten Mieten auf ihre Vereinbarkeit mit den gesetzlichen Obergrenzen prüfen. Die Melde-, Aktualisierungs- und Bußgeldpflichten gelten unabhängig vom Wohn- oder Geschäftssitz des Vermieters. Dies ist insbesondere für ausländische Eigentümer wichtig: Auch wer beispielsweise von Dänemark aus eine Wohnung in Berlin vermietet, unterliegt denselben Pflichten wie ein in Berlin ansässiger Vermieter.

Team Rynkeby is well known in Denmark, but since its foundation twenty years ago it has become a European project where charity cycling teams from several cities in Europe cycle from their home destination to Paris in the same week to watch the end of the Tour de France. The aim is to raise money for children’s cancer funds in each country. Today, the German juice group Eckes-Granini with its three brands Rynkeby, Go Morgen and hohes C is behind the project. Today, Team Rynkeby consists of 2,400 exercise cyclists and 550 volunteers in 59 local teams from Denmark, Sweden, Finland, Norway, Faroe Islands, Iceland, Germany and Switzerland. In July 2022, for the first time, a team of 30 cyclists, including lawyer Hans-Oluf Meyer, will cycle about 1,200 km from Berlin to Paris within a week to meet the other teams. 2022 will be a special year for the Danish participants, since the Tour de France starts in Denmark. In 2020, Team Rynkeby could give € 8.79 million to organisations helping children with critical illnesses. Of this, € 152,749 went to the German Children’s Cancer Foundation. Since 2002, the cycling teams have cycled and raised more than € 75 million.

September 9th lawyer Hans-Oluf Meyer in collaboration with the Ministry of Foreign Affairs’ Trade Council and the Trade Department at the Danish Embassy in Berlin participated in a Masterclass Workshop at Food Nation at Axelborg in Copenhagen with a presentation on the legal challenges of export and establishment in Germany. Participants were Danish companies that market their food products in Germany and that want to increase their activities in the German market.
